1. The European Commissioner for Competition, Joaquín Almunia, is considering revising the current treatment of non-controlling minority shareholdings (NCMS) that could grant the Commission the competence to examine concentrations that do not confer control over another company. [1] In this respect, the Commission launched two tenders to assess the importance of minority shareholdings in the EU. [2] The public consultation that will invite stakeholders to present their views is expected to commence in the coming months. La Commission européenne envisage la révision du régime actuel de traitement des participations minoritaires non contrôlantes en conférant à la Commission le pouvoir d’examiner les opérations ne donnant pas lieu à la prise de contrôle d’une autre entreprise. En Allemagne, la prise d’une participation minoritaire non contrôlante est déjà soumise au contrôle des opérations de concentration. Cet article détaille la situation actuelle en Allemagne, identifie les possibles atteintes à la concurrence, présente les contraintes existantes en droit des sociétés et en droit de la concurrence qui permettent déjà de remédier à d’éventuels effets anticoncurrentiels, et s’interroge, à la lumière de l’expérience allemande, sur l’opportunité d’une réforme du droit européen en la matière.
