The UK OFT refers an anticipated acquisition of travel services providers to the Competition Commission (Thomas Cook / Co-operative Group / Midlands Co-operative Society)

I. The transaction The transaction involves Thomas Cook acquiring control of the retail travel business of the Co-operative Group (“CGL”) and Midlands Co-operative Society (“Midlands”) [1]. Thomas Cook is a vertically integrated tour operator offering package holidays, flights, accommodation and other travel-related services via agents and direct to consumers. CGL‘s and Midlands’ travel businesses comprise a network of retail travel agency outlets, business travel operation and call centres. II. Jurisdiction Thomas Cook will create a new wholly owned subsidiary, to which the parties to the transaction will contribute their retail travel businesses for varying percentages of the issued ordinary share capital.
