On 10 February 1987, the Spanish subsidiary of Mercedes-Benz (hereinafter, “Mercedes”) and Motor Lugo, S.L. (“Motor Lugo”, which later became Auto Lugo) concluded an exclusive distribution agreement concerning the cars and spare parts manufactured by the former.
