The US FTC announces revised jurisdictional thresholds for § 8 and § 7A of the Clayton Act

Introduction Businesses planning equity investments or M&A activity should take note of recent US antitrust developments regarding pre-merger notifications. On February 28, 2008, revised Hart-Scott-Rodino Act (“HSR”) jurisdictional thresholds took effect. The size-of-transaction threshold for reportable acquisitions has been increased to US$63.1 million or greater, subject to certain other reporting thresholds.
