Vica Irani is a partner with Jones Day, based in the firm’s London office. Her broad practice focuses on the areas of general corporate and securities law, with primary emphasis on the representation of issuers, underwriters and other institutions in IPOs and other equity offerings, and public and private M&A transactions. She has represented clients across a wide range of industries, including natural resources, health care, manufacturing, technology, and military & aerospace, with a particular focus on cross-border deals. In addition, she assists public companies in satisfying their periodic reporting obligations and advises clients generally with respect to corporate law issues and corporate governance matters. Her representative transactions include : advising Eurasian Natural Resources Corporation PLC on its initial public offering on the London Stock Exchange’s Main Market, the related $3 billion global offering, and ongoing corporate governance, compliance, and corporate matters ; advising J.F. Lehman & Company on numerous acquisitions and divestitures (including the acquisition of BAE Systems’ Inertial Products business and the acquisition from Thales, and subsequent divestiture of, Racal Instruments and Racal Acoustics) ; advising Hanson PLC on its $4.8 billion restructuring and re-admission to the Main Market of the London Stock Exchange ; and advising financial institutions such as Credit Suisse First Boston, HSBC, J.P. Morgan Cazenove, and Piper Jaffray on numerous IPOs and other offerings. Vica also worked for about a year in the Firm’s New York Office, where she advised on cross-border M&A and securities transactions. She has been repeatedly recommended in the Chambers Europe and Chambers UK guides.
