Judicial review: The French Administrative Supreme Court establishes the obligation to disclose alternative commitments in relation to a merger clearance to third parties (Totalgaz / UGI Bordeaux Holding)

Par une décision du 15 mai 2015 (décision n° 15-DCC-53, UGI Bordeaux Holding / Totalgaz), l’Autorité de la concurrence a autorisé à l’issue d’une phase I la prise de contrôle exclusive de Totalgaz (“Totalgaz”) par UGI Bordeaux Holding (“UGI”), sous réserve de la mise en œuvre d’engagements. Ces engagements portaient, notamment, sur la cession à Butagaz d’une participation de 18 % dans le GIE exploitant le dépôt d’importation de GPL de Norgal
