On the August 26, 2013, the Portuguese Competition Authority (“PCA”) issued a Decision of Non-opposition, with remedies, regarding a concentration notified in February 1, 2013 (under every notification criteria under article 37 (1) of the Portuguese Competition Law – Lei n.º 19/2012, of May 8, hereinafter “PCL”) consisting in the indirect acquisition by Mrs. Isabel dos Santos, daughter of the Angola President of Republic – through Kento Holding Limited (“Kento”) and Unitel International Holdings, BV (“Unitel”) – and by Sonae, SGPS, S.A. (“Sonae”) – through Sonaecom, SGPS, S.A. (“Sonaecom”) – of joint control of ZOPT, SGPS, S.A. (“ZOPT”), a Special Purpose Vehicle that would result of the merger of ZON Multimédia – Serviços de Telecomunicações e Multimédia, SGPS, S.A. (“ZON”) with Optimus, SGPS, S.A.
