On June 9, 2000, the Spanish Supreme Court annulled, on other grounds than competition law, the Spanish Council of Ministers' decision of May 20, 1994 (“the Decision”) to not oppose a merger involving transferring part of Antena 3 Radio, SA (“A3”) and Sociedad Española de Radiodifusión, SA (“SER”) to Sociedad de Servicios Radiofónicos Unión Radio SA (“Unión Radio”), and imposed remedies on the parties. On December 1, 1993, A3, SER and Unión Radio notified the Spanish Competition Authority (“SCA”) of their intention to enter into a management transfer contract.
