The Italian Competition Authority blocks a merger between two energy companies due to its expected adverse effect on competition in the energy sector (Enel Produzione / ERG Power)

The Italian Competition Authority has recently closed a II Phase merger control enquiry in Enel Produzione/ERG Power by vetoing a concentration between two energy companies due to the expected adverse effects oncompetition in some electricity markets in the region of Sicily [1]. The merger operation under scrutiny Enel Produzione was a producer and wholesale distributor of electricity wholly owned by the energy group Enel. Enel Produzione intended to acquire from ERG Power Generation the sole control of ERG Power, whose only asset was a Combined Cycle Gas Turbine power station located in Sicily (the Nuce Nord plant). Because the transaction had an EU dimension within the meaning of Article 1(2) of Regulation (EC) no.139/2004, the merging parties notified it to the European Commission
