The Spanish Competition Authority requests the EU Commission on the interpretation of the 15-day deadline to request a referral under article 22 of the EU Merger Regulation (Syngenta/Monsanto)

On September 30, 2009, the Spanish Competition Authority (the “CNC”) requested the European Commission to examine, under article 22.1 of the EU Merger Regulation, the transaction through which Syngenta Crop Protection (“Syngenta”) acquired sole control of the sunflower seed business of Monsanto Company (“Monsanto”). The CNC had been notified of this transaction on August 19, 2009, because it met the market share threshold established in article 8.1.a) of the Spanish Competition Act. The CNC’s resolution states that the referral was submitted in time, despite taking 30 working days after notification.
