The operation On 30 July 2007 RWE AG (“RWE”) on behalf of RWE Rhein-Ruhr AG (“RWE Rhein-Ruhr”) notified the Bundeskartellamt of two proposed transactions. The first, was for RWE Rhein-Ruhr to acquire a stake of 25% in Stadtwerke Krefeld Neuss AG & Co. KG (“SWKN”). The second transaction was for RWE Rhein-Ruhr to increase its stake in Stadtwerke Velbert GmbH (“SW Velbert”) from 20% to 40%. As part of the SWKN transaction, RWE Rhein-Ruhr planned to integrate into SWKN all RWE Rhein-Ruhr's ‘small end' business and consumer customers connected to the electricity distribution network of the town of Neuss. Following pre-notification negotiations with the Bundeskartellamt, and as part of its formal notification, RWE Rhein-Ruhr proposed that to compensate for the adverse effects on competition
