The Polish Competition Authority conditionally clears a merger in the fuel retail market (BP Europe / ARGE)

Background On 29 June 2018, the OCCP initiated the merger proceedings concerning acquisition of ARGE Nieruchomości sp. z o.o. (“ARGE RE”) and ARGE Paliwa sp. z o.o. (“ARGE”)’s assets from BP Europa (“BP”). More specifically, the proposed transaction considered the acquisition of several real estates and fuel stations in Poland. In Poland, BP has operations in both retail and non-retail sale of fuels, retail sale of LPG, oils and lubricants. In December 2018, BP owned a chain of 541 fuel stations located through the country. ARGE is active in both retail and non-retail sale of fuels, lubricants and accessories for car maintenance. ARGE RE mainly rents and manages real estate.
