The operation Both of the Purchasers are French companies. Andros is a holding company which operates in the administration of its holding companies including Novandie. Andros Group companies are active in the production and marketing of diary products and fruit juices. Novandie is also active in the abovementioned businesses. None of the Purchasers is active in the relevant product market in Turkey prior to the transaction. On the other hand, Eker is mainly active in the production and marketing of dairy products as well as in the sales of fruit juices and animal feeds. The transaction is the acquisition by the Purchasers 50% of the shareholding of the Sellers in Eker. Upon the closing of the transaction the parties will have joint control over Eker.
