By its decision recently handed down in BPER/Carige [1], the Italian Competition Authority (ICA) has unconditionally authorized the concentration between two national banks, BPER Banca Spa (BPER) and Banca Carige Spa (Carige). By this transaction (the BPER/Carige transaction), BPER intended to acquire the exclusive control over Carige by purchasing approximately 80% of the share capital of target from the joint sellers, Fondo Interbancario di Tutela Depositi (FITD) and Schema Volontario di Intervento del Fondo Interbancario di Tutela dei Depositi (SVI) [2]. The BPER/Carige transaction was duly notified to the ICA on 14 February 2022 and later, on 19 April 2022, the merging parties also notified to the ICA a contract entered into by BPER with a third party banking operator,
