On June 19, 2009, the Latvian Competition Council adopted a decision conditionally clearing the acquisition of control over SIA „S.D.V.» , SIA „L.D.V.», SIA „MONO M», SIA „S.Alko» by SIA „SPV Distributor» (hereinafter «SPV Distributor»), notified on March 27, 2009. SPV Distributor is a holding company (limited liability company). SPV Distributor belongs to a group of undertakings together with SIA «AV&D», SIA «Interlat» and AS «Latvijas Balzams». Therefore all of the above mentioned undertakings are considered an acquirer of control (hereinafter «the Acquirer»). The main commercial activity of the parties to the merger was retail sales and wholesale of alcoholic beverages.
