The US DoJ and FTC issue draft vertical merger guidelines

Update: On February 3, 2020, the DOJ and FTC announced that the deadline for submitting public comments on the draft vertical merger guidelines has been extended to February 26, 2020. The agencies also announced two public workshops – on March 11 and March 18 – to solicit dialogue on the draft guidelines. While the workshops will be open to the public, participating panelists will be selected only from those that file public comments. On January 10, 2020, the Federal Trade Commission and the Antitrust Division of the Department of Justice (collectively, “the Agencies”) released joint Draft Vertical Merger Guidelines (the “Draft Guidelines”). The Draft Guidelines, which will be open to public comment for 30 days, rescind the Non-Horizontal Merger Guidelines issued by the DOJ in 1984. The
