The UK’s Office of fair trading clears merger in newspaper and magazine distribution sector by reference to forward-looking counterfactual (Completed acquisition by Smiths News Trading Limited of Certain Assets of Surridge Dawson Limited)

On 28 August 2009, the UK's Office of Fair Trading ("OFT") announced that it had unconditionally cleared the acquisition of assets by Smiths News from Surridge Dawson (the "Transaction"). Both parties were active in the supply of wholesale newspaper and magazine distribution in the UK. The Transaction involved the transfer of assets only, and did not involve the transfer of existing distribution contracts. However, it took place against a background of recent contract awards, which had resulted in Smiths News being appointed by publishers to distribute newspapers and magazines in a number of territories previously serviced by Surridge Dawson (through its Dawson News subsidiary) for the next 5 year period ending in 2014.
