Pascal Bine is a Partner with Skadden in the firm’s Paris office, where he focuses his practice on a wide variety of transactions, including cross-border M&A, public M&A, capital markets and financing transactions. Mr. Bine has decades of experience advising on a variety of M&A-related matters, counseling clients in a range of industries in jurisdictions around the world. He has significant experience in all key aspects of banking and complex structured finance transactions under French law. His experience extends to multijurisdictional bank financing transactions advising both borrowers and lenders in connection with corporate and acquisition financings. Mr. Bine has significant experience navigating foreign investment reviews before French competent authorities, having represented foreign corporations, private equity investors and other investors on the French foreign investment aspects of many cross-border M&A deals. His experience in this review process covers both inbound M&A transactions in France and multijurisdictional M&A deals where the foreign buyer is required to obtain similar authorizations from national authorities or agencies, including the Committee on Foreign Investment in the United States (CFIUS). Mr. Bine has unique experience negotiating mitigation agreements with French foreign investment authorities across a full range of business sectors in France, including defense, aeronautics, public security, telecommunications, transportation, public infrastructure, health care, IT services and technology. Mr. Bine’s experience in cross-border M&A transactions includes the representation of U.S. and U.K. private equity investors in connection with LBO acquisitions, direct financings, fund of funds and secondary investments on the French marketplace. In addition, Mr. Bine has significant experience in all key aspects of banking and complex structured finance transactions under French law. He represented Air France in connection with its Enhanced Equipment Trust Certificate-type aircraft securitization financing, and SCOR in the negotiation of its stand-by letters of credit and credit revolving facility agreements. He also has been involved in several trade receivable and other asset-based refinancing transactions. Mr. Bine’s experience in banking and structured finance also extends to multijurisdictional bank financing transactions advising both borrowers and lenders in connection with corporate and acquisition financings. Mr. Bine was named in The Best Lawyers in France 2021 and won the 2012 International Law Office Award for exceptional client service by a capital markets practitioner in France.
